We look forward to welcoming you as a SBG Client Partner for Special Build Group. This document outlines the Rules of Engagement and Terms and Conditions that govern our relationship. It is designed to ensure a clear understanding of the expectations, responsibilities, and benefits associated with being an SBG Client Partner. By adhering to these guidelines, you help us maintain the highest standards of service and professionalism, while growing your own business within our robust network. Please read these terms carefully to understand your role in fostering successful collaborations and contributing to mutual success and growth.
1. Client Partnership Eligibility and Business Requirements
1.1 UK Business Registration:
● Client Partners must be actively registered, or registration pending as a UK limited company.
● Provision of a valid Companies House registration number is required.
● The company should be able to demonstrate a track record of trading for at least 12 consecutive months, with a VAT turnover surpassing £85,000, which is the current VAT threshold.
1.2 Financial Stability: Client Partners should demonstrate financial stability. SBG may request financial statements for review.
2. Commission Structure and Financial Obligations
2.1 Partnership Fee: SBG charges a fixed partnership fee of 2% of all client partner revenue to support its ability to deliver a comprehensive service offering.
2.2 'Deal' Commission: For deals sourced by SBG, an 8% commission is applied, acknowledging the direct value and aligned opportunities we provide.
2.3 VAT Application: Commission rates are exclusive of VAT, which will be added to invoices at the current statutory rate.
2.4 Invoicing and Payment Terms: SBG reserves the right to issue invoices monthly. All invoices will carry 14-day payment term from the date of issue.
3. Deal Acceptance and Partner Activity
3.1 'Deal' definition: For the purposes of this agreement, a 'deal' defined as any piece of work sourced by SBG that generates revenue for the Client Partner.
3.2 Minimum deal acceptance: Client Partners must aim to accept support on at least one deal per year to remain an active Client Partner.
3.3 Deal Tracking and Invoicing: Client Partners and SBG will agree on deal affiliations during regular check-ins.
3.4 Management Discretion: Failure to meet this criterion may lead to client partnership review and possible removal, subject to management discretion.
4. Quality Standards and Compliance
4.1 Adherence to Standards: Commitment to high-quality workmanship, adhering to all relevant UK building codes and safety regulations.
4.2 Auditing and Improvement: Participation in periodic audits for quality assurance, and commitment to continuous service improvement.
5. Insurance and Professional Conduct
5.1 Insurance Coverage: Client Partners must have appropriate insurance coverage for all works (e.g., public liability insurance).
5.2 Ethical Business Practices: Uphold ethical standards in all business dealings, including interactions within the SBG network and with clients.
6. Training, Communication, and Community Engagement
6.1 Development Opportunities: Encouragement to participate in SBG's training programs to enhance skills and service offerings.
6.2 Network Participation: Active involvement in SBG community events and forums is highly encouraged.
6.3 Effective Communication: Maintain clear and prompt communication with SBG management and clients, especially regarding deal updates or issues.
7. Partnership Renewal and Review
7.1 Annual Review: Client partnership is subject to an annual performance review, considering deal / project completion, client feedback, and adherence to SBG standards.
7.2 Renewal Process: Details on the renewal process, including criteria and steps for continuation or termination of the client partnership.
8. Confidentiality and Data Protection
8.1 Data Handling: Client Partners must handle all client and SBG-related data with strict confidentiality and in compliance with data protection laws.
8.2 Non-Disclosure: Agreement to non-disclosure of SBG proprietary information and client data to third parties without prior consent.
9. Client Relationship and Dispute Resolution
9.1 Client Relations: Client Partners are responsible for maintaining positive client relationships, addressing client concerns promptly and professionally.
9.2 Dispute Resolution: Commitment to resolving disputes with clients through mediation or negotiation, following SBG's dispute resolution process.
